JE Dunn Construction plans to expand its Upper Midwest footprint through a proposed acquisition of Henry Carlson Construction, a South Dakota-based commercial contractor.
The companies announced that they are working toward final acquisition agreements following the signing of a letter of intent. The transaction remains subject to completion of definitive agreements and is expected to close by the end of July.
The proposed acquisition would strengthen JE Dunn Construction’s operations in South Dakota while adding local market relationships and regional project experience. Henry Carlson Construction is headquartered in Sioux Falls and has operated in the commercial construction market for more than a century.
Henry Carlson Construction’s portfolio includes commercial building work throughout the Midwest, with experience across multiple project sectors. JE Dunn Construction currently operates from 26 offices nationwide and ranks among the country’s largest domestic building contractors.
The companies indicated that regional leadership and community engagement efforts are expected to remain part of ongoing operations following the transaction.
JE Dunn Construction stated that integration planning will focus on operational continuity, workforce retention and client service during the transition process. The companies have previously partnered on projects across the region, providing an existing working relationship ahead of the acquisition.
Leadership succession also factored into the transaction discussions as Henry Carlson Construction evaluates long-term ownership transition plans.
Mergers and acquisitions have remained active across the construction sector as contractors seek geographic expansion, specialized expertise and labor force stability in competitive regional markets.
For construction owners and developers, acquisitions involving established regional contractors can expand access to larger delivery capabilities while preserving local market knowledge and subcontractor relationships. The proposed transaction would combine JE Dunn Construction’s national resources with Henry Carlson Construction’s regional presence in South Dakota and neighboring Midwest markets.
The move also reflects continued consolidation within the commercial construction industry as contractors pursue growth opportunities tied to institutional, industrial and private-sector development activity across secondary and mid-sized U.S. markets.
